1. OPERATION OF EVENT
The Vendor acknowledges and agrees that the Event will operate at Cardiff Park, Sturgeon County on Thursday, July 13, 2023 from 4:00 p.m. to 9:00 p.m. and Friday, July 14, 2023 from 4:00 p.m. to 9:00 p.m.
The Vendor acknowledges and agrees to follow the Event Schedule as follows:
– Food truck set up 8:30a.m. – 2:30p.m.
– AHS approval / Health Inspector Walk Through – 2:00p.m.
– Event / Food Service – 4:00p.m. – 9:00p.m.
– Clean up (rentals, site clean up) 9:00p.m. – finished
Sturgeon will operate the Event rain or shine. Sturgeon will provide toilet facilities, garbage cans, recycling bins, tents, tables, and benches for the use of the Event attendees. Sturgeon has designated Amy Oshanyk to be the Manager of the Event (the “Event Manager”) to manage and supervise the Event on its behalf.
2. SPACE RENTAL
a) The Vendor will be assigned a space (the “Vendor’s Space”) at the discretion of the Event Manager. The space will include below items, based on availability, and must be requested in advance :
i. allocated stall for food truck or tent set up.
ii. Power will be the responsibility of The Vendor
b) The Vendor agrees that Sturgeon is in no way responsible for providing any other items or equipment in connection with the Vendor’s space.
c) The Vendor shall contain the Vendor’s displays within the Vendor’s space.
d) The Vendor agrees to maintain the Vendor’s space in a clean, orderly, and safe manner during the operating hours of the Event and before leaving at the end of each day. The Vendor agrees to return the Vendor’s space to its original state.
e) The Vendor agrees to have the Vendor’s booth / food truck set up and ready for participants by 2:00pm for the AHS Health Inspection.
f) The Vendor agrees to remain for the duration of the Event and may not leave or remove their booth / food truck until the Event has ended. This is a safety issue and is required to be followed to reduce any risk of injury to persons attending the Event.
3. RULES + REGULATIONS FOR SALE OF GOODS
a) The Vendor agrees to comply with all statutes, bylaws, and other laws respecting the production, distribution, labeling, safety, and sale of the Vendor’s products. The Vendor must comply with the requirements set by the Canadian Food Inspection Agency and Alberta Health Services.
b) The Vendor agrees that the Vendor is responsible for obtaining all necessary permits, approvals, and licenses required for the Vendor’s sale of goods.
c) The Vendor agrees that Sturgeon assumes no liability or responsibility for the goods and services of the Vendor.
4. INSURANCE
a) (a) Comprehensive General Liability (CGL) Insurance in respect to the Services and operations of the Vendor for bodily injury and/or property damage with policy limits of not less than a minimum Two Million Dollars ($2,000,000) CGL coverage required per occurrence. Such insurance shall (i) name the County as an additional insured, (ii) contain a cross liability clause, (iii) include non-owned automobiles; (iv) protect the County from any claims by or through the Vendor relating to third party bodily injury and property damage claims; and (v) indicate that the coverage under the policy shall be primary insurance in relation to any insurance maintained by the County directly.
(b) Comprehensive Automobile liability insurance on all vehicles owned, operated, or licensed in the Vendor’s name, with limits of not less than Two Million Dollars ($2,000,000) per occurrence. The policy shall cover the Vendor for all sums which the Vendor shall become legally obligated to pay as damages because of bodily injury including passenger hazard and property damage caused by an occurrence
c) The Vendor shall hold harmless Sturgeon County, its employees, and agents from any
and all third-party claims, demands, or actions for which the Vendor is legally responsible, including those arising out of negligence or willful acts by the Vendor, or the Vendor’s employees or its agents. The hold harmless shall survive this Agreement.
5. INDEMNITY
The Vendor agrees to indemnify and hold harmless Sturgeon, its elected officials, Event Manager and Staff from any suit, claim, demand, fine, action or proceeding of any kind which may be brought against any one or more of them and from any losses, costs damages, or expenses suffered or incurred by Sturgeon, howsoever caused, including by reason of any damage to property, death or injury to any person, in any way connected with this Agreement or the participation of the Vendor in the Event or arising from any breach or non-performance by the Vendor of any provision of this agreement unless such claims or losses are caused directly by the negligence or willful misconduct of Sturgeon.
6. LOST, DAMAGED, OR STOLEN GOODS
The Vendor acknowledges and agrees that the Municipality shall in no way be responsible for the loss, theft or damage to any goods or equipment belonging to the Vendor during the Event.
7. MANAGEMENT
The Event will be managed and operated by the Event Manager and the staff of Sturgeon. The Vendor agrees to abide by the rules made by the Event Manager and such staff and that the Event Manager and staff may act and make rules at any time, particularly to ensure the safety of the Event.
8. PHOTOGRAPHY & VIDEO
The Vendor acknowledges and agrees that Sturgeon reserves the right to photograph or video any item, space, booth, or person in connection with the Event and to use such photographs or video for Municipality related purposes. The Vendor waives any and all rights in connection with such photographs and/or videos indefinitely.
9. CONDUCT
The Vendor and all people associated with the Vendor shall conduct themselves in an orderly and safe fashion. The Vendor agrees that the Event Manager may remove any participant at the Event who in the Event Manager’s opinion is behaving in a manner that may conflict with the image of the Event or that is a threat to the health and safety of others.
10. MATTERS NOT ADDRESSED IN AGREEMENT
The Event Manager shall have the right to deal with matters not addressed in this agreement at the Event Manager’s discretion.
